Relationship of the Board to the Supporting Organizations



In another on-line forum (list@ifwp.org), Karl Auerbach
[mailto:karl@CaveBear.com] and Kent Crispin [mailto:kent@songbird.com]
have each presented different interpretations on the relationship of the
Board and the Supporting Organizations in the current IANA draft.  

Kent states:

>> proposals, and pass them.  Article V, section 2:

Karl states:
>You are reading parts of that section out of context.  Pay particular
>attention to the fact that you are quoting a section under "Fees and
>Charges".

I think this points to ambiguity in the draft.  The language in Article
V Section 2, which seems to give the Board the power Kent refers to,
seems misplaced.  Also, it seems to be in conflict with Article VII,
Section 1.C.

I suggest the following modifications:

1.  In V.2., strike the second paragraph.

2. Add VII.1.D as follows:

The foregoing notwithstanding, the Board may take any action on its own
initiative that it determines is required to carry out the purposes of
the Corporation, to comply with any applicable law, or to satisfy any
legal duty of the Board or any Director (in his or her capacity as a
Director).
