To the Board: My primary issue with this contract is that the negotiations on the new contract were held between Verisign and the ICANN staff only. Due to the fact that the Contractual Conditions are matters of policy, in that ICANN regulatory policy is expressed though contractual conditions, it seems inappropriate that these negotiations were held in secret without GNSO and other community participation. There are three policy issues that I discuss in the accompanying document, which I believe are policy issues where ICANN staff has inappropriately made policy decisions without proper consultation with the GNSO and the community at large. 1. The pre-determination of permissible action if Verisign is found to be in breach of certain subsections of the contract. 2. The blanket permission for Verisign to use Traffic Data in any manner it desires without any discussion of impact analysis of the effect o privacy and other rights. 3.
