ByLaws (was: IAB Last Call on new IANA Statement)



Having compared the proposed Bylaws with other examples and discussions,
I am very pleased that they show a remarkable consistency, and detail of
specification.  The Harvard side-by-side pages show that they conform to
the USG WP and the listed IFWP consensus remarkably well, and are
considerably better written than any other proposal.

However, few minor modifications might be in order:

VI.6.
  change "no more than one-third (1/3) of the total number"
                       ^^^^^^^^^^^^^^^
  change "no more than one (1) of the Directors nominated"
                       ^^^^^^^
  change "each of the following shall be a Geographic Region:
  (a) Africa,
  (b) Arabian to Indian subcontinents,
  (c) Australia and Pacific Islands,
  (d) East and Central Asia,
  (e) Europe and North Atlantic,
  (f) North America,
  (g) South and Central America and Caribbean Islands."


VI.12.
  replace "convicted of a felony"
  with "incarcerated more than 90 days following conviction of a crime"
  (to internationalize the language)


VII.5. Discipline (new)

  A. (Grounds for Discipline) After due notice and opportunity for
  hearing as provided in this Article, any Supporting Organization shall
  be liable to censure, suspension, expulsion, or other penalty for:

  (1) failing to render adequate and proper services, within the areas
  it has undertaken to serve, pursuant to such powers and duties as may
  be prescribed by the Board and these Bylaws; or

  (2) violating these Bylaws, or any policies, practices, rules or
  regulations adopted by the Board; or

  (3) participating, directly or indirectly, in any activity detrimental
  to the objects and interests of this Corporation, or threatening in
  any wise to embarrass or discredit this Corporation (but taking part
  in matters of regional or local legislation within the areas it has
  undertaken to serve shall not be deemed a ground for discipline); or

  (4) interfering with or trespassing upon the rights, property, or
  privileges of any other Supporting Organization; or

  (5) failing or refusing to disclose any information relating to
  matters affecting the interests of the Corporation, when requested to
  do so by the Chairperson or President, pursuant to rules and
  regulations adopted by the Board.

IX.10.
  change "upon approval of the Board for the President or Directors
  serving as officers, or of the President for other officers."
