Being a non-recourse LLC, the individual member assets, which are outside
of the LLC are protected.
Take note of this ICANN. When
you are indemnified, you must not settle for indemnification by the LLC. There
may not be sufficient protection for you there. You must also receive personal
guarantees from the officers of each of the 19 individual registrars.
The question remains, if the jury award is in excess of available funds
from the indemnifiers, can ICANN be held liable for the excess?
I would think; absolutely. Am I wrong?
To the
insurance company covering the liability of Afililas; take note of this. To
the insurance companies of the individual 19 registrars, you would have to be out
of your minds to allow your clients to make personal guarantees to ICANN.
