Please find attached my resume.

I am an independent, and therefore, very neutral, author, consultant with
extensive CEO, technology, strategy, industrial policy and facilitation
experience.

I have an international perspective: born in the UK, spent a great deal of
time in France, did high school in Canada, undergraduate and business school
in the US. I have worked in Germany, Canada and the US and have done
business around the world.

I have a demonstrated track record of thought leadership and technological
innnovation. My career includes:

- Being an early user of the Arpanet from 1972 while taking graduate courses
on the impact of computers at Harvard with some courses at MIT.

- A book on industrial policy and strategy that predicted the importance of
technology (key technologies were identified - telecom, computers, and
biotech) in changing companies' strategies in 1983 (Davidson and Fisher,
Seizing the Future, TransCanada Press)

- Involvement in politics including policy work for Brian Mulroney, two term
Prime Minister of Canada which led to the NAFTA and the most important tax
reform in Canadian history, the introduction of a value added tax to replace
an inefficient wholesale tax that effectively subsidised importers rather
than encouraging Canadian exports.

- Developed the first ever strategic expert system with 3,000 rules about
business strategy in addition to distributing all the leading software for
strategic analysis in the 80s and 90s

- Developed a leading edge information warehouse based upon object oriented
distributed warehouses with OLAP capabilities.

- Authored a classic book on best practices in information technology with
Harvey Gellman, the first person to buy a computer in Canada in 1952 and the
dean of Canadian IT consulting (Davidson, Gellman and Chung, Riding the
Tiger, HarperCollins Canada, 1997 and Jist Publications, US 1999).

- Authored a well respected book on best practices in starting, growing and
turning around software and Internet companies. See web site to download:
www.eclicktick.com.

- Have been CEO of a packaged software company, strategic and IT consulting
firm, foreign exchange ASP, and business incubator

- Have trained facilitators and am certified in Myers-Briggs

- Am a prolific author in the area of technology strategy, business and new
product strategy

My most recent articles have been

(1) a major white paper on the evolution of converged IP networks and the
resulting change in industry structure and selling processes.

(2) how good ethics is good business and how current boards of directors
need to understand strategy and performance reporting in order to fulfill
their fiduciary duties.

I am on the Editorial Advisory Board of "Strategy and Leadership" magazine
and have taught strategy, international strategy and strategic management at
universities in Canada and the US.

My skills represent a combination of business and technology strategy
knowledge and experience, combined with world class knowledge of strategic
market development and strategic management and facilitation capabilities. I
have facilitated large organizations like Canada Post Corporation and Baxter
International as well as advising over 50 high tech firms.

I also have experience as a result of my work with three incubators in
advising international high tech firms from Korea, Japan, Canada, France,
the Bahamas and the UK.

With respect to innovation on the Internet, I am on record as having
recommended to Hummer Winblad's interim CEO when he was first appointed that
the ideal strategy for Napster was to move to a micropayment model where
file transfer between downloaders would trigger a micropayment to the
intellectual property owners. This advice was not taken and the company of
course, took a litigious strategy that failed.

In terms of software development, I have been involved in bringing 12
products to market around the world primarily in the strategic tools and
information warehouse area. I take particular pride in a project where I
improved the productivity of my development team by a factor of 20X over a
three year period by moving to an component based, object oriented,
distributed object database application server that acted as an application
server, information warehouse, modeling tool and performance reporting
system based upon ParcPlace and later IBM VisualAge Smalltalk and the
Gemstone object database server.

On the security side, I have consulted two two startup firms in the area,
one Internet and one software based.

I am a member of the Computer History Museum.

Yours truly

Alistair Davidson
