The staff is hired and directed by the board.  If the staff isn't doing a 
good job, that is most definitely the board's responsibility and problem, 
both by California law and by any normal standards of corporate 
governance.

Was the board aware of the contents of Jeffries' letter before he sent it? 
Or to put it another way, was the letter intended to express the position 
of a staff member, or the position of the board?
