Jeff,
Sorry for the slow response to this one. It got caught up in the 9,000 emails
on the list last week.
Yes, I think a trust type structure would allow the registrar to enjoy the
economic benefits of owning a registry -- as long as control wasn't exercised
by the registrar. Alternately, the registrar could own 90% (say) of the
registry corporation and an unaffiliated party the other 10% - again as long
as the registrar did not have the power to direct policy. The registrar could
place tag-along/ drag-along obligations on the 10% owner in the event that
party disposed of its shares.
I don't know what other legal structures might be available in the US or other
jurisdictions, but there are probably other vehicles that allow ownership,
and economic benefit, without control. Again, in my view this isn't a
loophole. I think if the staff had meant the DAG to prevent 'ownership' they
would not have gone to the trouble of extensively describing 'beneficial
ownership', as they did.
